The Pedigree Adoption Drive 2010 Campaign (the "Campaign") aims to raise funds for,
and awareness of, dog welfare through various promotional events, advertisements
and marketing communications (together, the "Campaign Activities") running between 26 March 2010 and 18 July 2010.
All funds raised through the Campaign will be donated
to Petplan Charitable Trust (Registered Charity Number 1032907) (the "Charity").

Funds will be raised for the Campaign both through donations from Mars Petcare and
through consumer donations made directly to the Charity (the "Donations"). Full
details of how money will be raised through individual Campaign Activities will
be made available at the time Campaign Activities are announced and promoted.

Consumers who would like to donate funds directly to the Charity can do so by texting
"4DOGS" to 70003. Texts cost £3 plus network charge, of which the Charity
will receive £2.82 (3), £2.65 (O2), £2.70 (T-Mobile), £2.61
(Orange), £2.73 (Vodafone) or £2.67 (Virgin) depending on the individual's
service provider. Please ensure you have the bill payer's permission before texting.

Consumers may also donate to the Charity online at www.justgiving.com/everydogmatters

The Charity will manage the allocation of the Donations to animal homes that are
members of the Association of Dogs and Cats Homes ("ADCH Homes") (which include
five ADCH Homes based in the Republic of Ireland, two ADCH Homes based in the Channel
Islands and one ADCH Home based in the Isle of Man). Special donations, in the amounts
of £25,000, £20,000 and £15,000, will be awarded to the three
ADCH Homes that prepare and submit applications to the Charity which best indicate
how such a donation would allow that ADCH Home to have a significant impact on animal
welfare. All ADCH Homes (including those based in the Republic of Ireland, Channel
Islands and the Isle of Man) may apply for a special donation. Any remaining funds
from the Donations will be allocated to ADCH Homes in the amounts or proportions
that the Charity, in agreement with two representatives from Mars Petcare, determines
but will be not less than £100 per ADCH Home.

The Committee of Petplan Charitable Trust, made up of two Trustees, together with
two representatives from Mars Petcare, will make their recommendations to the Charity's
Board of Trustees for ratification as to the three ADCH Homes who should receive
the special donations and the level of award to other ADCH Homes applying for a
donation. Further details of the application process are available at www.pedigreeadoptiondrive.com and www.petplantrust.org.

As the Charity will cover associated costs, such as administration fees, 100% of
all Donations is guaranteed to go directly to support the Charity and help dogs
in re-homing situations.

Mars Petcare will upload a series of four different videos relating to Charlie the
dog on http://www.youtube.com/wearefordogs
(the "Episodes") as part of the Campaign.
|
|
|
9.
|
Mars Petcare hopes to raise up to £100,000 from viewings of the Episodes on
the basis set out below.
|
|
|
10.
|
For every unique viewing of an Episode up to a maximum of 100,000 viewings, Mars
Petcare will donate £1 to the Charity (up to a maximum donation of £100,000)
who will distribute 100% of the money raised to benefit ADCH Homes in accordance
with the terms above.

|

|
A "unique viewing" will be registered when any of the four Episodes is viewed, subject
to a limit of one viewing per IP address per day.
|
|
|
12.
|
Episode 1 will be uploaded on 19 April 2010. Episode 2 will be uploaded once the
number of unique viewings reaches 25,000. Episode 3 will be uploaded when the combined
total unique viewings of Episodes 1 and 2 reaches 50,000. Episode 4 will be uploaded
when the combined total viewings of Episodes 1, 2 and 3 reaches 75,000.

Once the total number of viewings of the Episodes reaches 100,000 no further donations
will be made by Mars Petcare for any subsequent viewings of the Episodes.

14.
|
Mars Petcare hopes to raise up to £50,000 via the Pedigree Adoption Drive
page on Facebook on the basis set out below.
|
|
|
15.
|
For each of the first 100,000 UK residents registering to "Like" the Pedigree Adoption
Drive page on Facebook on or before 18 July 2010, Mars Petcare will donate 50p to
the Charity, up to a maximum donation of £50,000.
|
|
|
16.
|
Only one registration as a "Like" per person.
|
|
|
17.
|
Once the total number of "Likes" reaches 100,000 (as will be indicated clearly on
the Pedigree Adoption Drive Facebook page) no further donations will be made by
Mars Petcare UK limited in respect of anyone subsequently clicking "Like".

Dog abandonment figures 2009 taken from Dogs Trust annual Stray Dogs Report which
revealed that an estimated 107,228 stray dogs were taken in by local councils in
the UK last year. The 2009 survey was produced by GfK NOP who mailed questionnaires
to all 432 local authorities in the UK, with a response rate of 80%. Results are
weighted to represent the 432 authorities.
